THIS AGREEMENT TO INTERCONNECT AND OPERATE NATURAL GAS PIPELINE FACILITIES ("Agreement"), is entered into and made effective this __ day of _____________, 2001, by and between, BP ENERGY COMPANY, a Delaware corporation, ("BPE"), and HOUSTON PIPE LINE COMPANY, a Delaware corporation, ("HPL"). (BPE and HPL are sometimes referred to individually as "Party" and collectively as "Parties").
