THIS TRANSFER AGREEMENT dated as of the [ ] day of [ ], 2024, (the “Effective Date”), is by and between OAK-MITSUI TECHNOLOGIES, LLC, a Delaware limited liability company having its office and principal place of business at 1030 Hoover Blvd., Frankfort, KY 40601 (“Transferor”) and VILLAGE OF HOOSICK FALLS a municipal corporation, having its office and principal office at 24 Main Street, Hoosick Falls, New York 12090 ("Transferee"). Transferor and Transferee may be referred to herein as a “party” and, collectively, as the “parties.”
