THIS STIPULATION is entered into effective this 27th day of January, 2012, by and between PRESTON DUFAUCHARD, California Corporations Commissioner (the “Commissioner”), and Brian McGuane and Oxford Financial Group, Inc., a California corporation (hereinafter referred to collectively as “Respondents”). This stipulation is entered into pursuant to the California Corporate Securities Law of 1968. Respondents and the Commissioner are collectively referred to in this Stipulation as the “Parties”.
