Ventas, Inc., a Delaware corporation (“Company”), and Ventas Realty, Limited Partnership, a Delaware limited partnership (the “Operating Partnership”), agree with J.P. Morgan Securities LLC (the “Underwriter”) as set forth in this underwriting agreement (this “Agreement”). Each of the Company and the Operating Partnership are referred to herein sometimes individually as a “Ventas Entity” and together as the “Ventas Entities.”
