WHEREAS, Lender will make loans to Borrower secured by certain property which may be personal property, real property or other items pursuant to a Senior Loan and Security Agreement dated as of August 31, 2000, ("Security Agreement") which term "Security Agreement" in this Guaranty includes any and all promissory notes and other agreements now or hereafter executed by Borrower in connection with the Security Agreement between Lender and Borrower. WHEREAS, Guarantor acknowledges that Lender would not enter into the Security Agreement or make any loans to Borrower
