This Noncompetition Agreement (this “Agreement”) is made and entered into effective as of the date set forth on the signature page hereof (the “Effective Date”), by and among ENRON CORP., an Oregon corporation (“Enron”), ENRON ENERGY SERVICES, LLC, a Delaware limited liability company (“EES”), and EMW ENERGY SERVICES CORP., a Delaware corporation (“EMW”). Enron, EES and EMW are sometimes individually referred to herein as a “Party” and sometimes collectively referred to herein as the “Parties”.
