THIS CUSTODIAL AND PAYING AGENCY AGREEMENT (as the same is amended, modified or supplemented in accordance with the terms of this agreement, this “Agreement”) is made and entered into as of December 20, 2023 (the “Agreement Date”), by and among (i) SIG RCRS A/B MF 2023 Venture LLC, a Delaware limited liability company (the “Company”), (ii) the Federal Deposit Insurance Corporation in its capacity as Receiver, as the Initial Member with respect to the Company (in such capacity, the “Initial Member”), (iii) SBNA Investor LLC, a Delaware limited liability company (the “Private Owner”), and (iv) U.S. Bank National Association, a national banking association (the “Bank”).
