THIS STOCKHOLDERS AGREEMENT is made and entered into as of October 1, 2020, by and among EP Energy Corporation, a Delaware corporation (the “Company”), the stockholders listed on Schedule I (the “Initial Stockholders”) and any other Person who after the date hereof acquires Common Stock of the Company and becomes a party to this Agreement pursuant to the Plan or by executing a Joinder Agreement substantially in the form set forth in Exhibit A (such Persons, collectively with the Initial Stockholders, the “Stockholders”).
