(“Buyer”) are parties to that certain Stock Purchase Agreement, dated September 15, 2017 (the “Stock Purchase Agreement”), pursuant to which Buyer will acquire from Seller all of the issued and outstanding shares of capital stock of the Ceding Company (the “Acquisition”).
