THIS ESCROW TRUST AGREEMENT (this “Escrow Agreement”) is entered into as of September 1, 2024, between the CITY OF MOBERLY, MISSOURI, a third-class city and political subdivision of the State of Missouri (the “Participant”), and UMB BANK, N.A., a national banking association duly organized, existing and authorized to accept and execute trusts of the character herein set out by virtue of the laws of the United States of America, as paying agent and escrow agent (the “Paying Agent”). Terms not otherwise defined in the Recitals or Section 1 of this Escrow Agreement have the meanings set forth in the below-defined Purchase Agreement.
