This Software as a Service Agreement (hereinafter referred to as “Agreement”) is entered into by and between, VENDOR NAME, a STATE OF INCORPORATION corporation having its principal place of business at VENDOR ADDRESS, CITY, STATE ZIP (hereinafter referred to as “Licensor”), and Mississippi Department of Information Technology Services having its principal place of business at 3771 Eastwood Drive, Jackson, Mississippi 39211 (hereinafter referred to as “ITS”), as contracting agent for the Mississippi Department of Human Services, located at 200 South Lamar Street, Jackson, Mississippi 39201 (hereinafter referred to as “Licensee” and/or “MDHS”). ITS and MDHS are sometimes collectively referred to herein as “State.”
