This Pr oject Sponso r ship Tr a nsfer Ag r eemen t (the “Agreement”) is made as of July 31, 2015 (the “Effective Date”), by and between Community Partners, a California nonprofit public benefit corporation (“Successor”), and The Advancement Project, a California nonprofit corporation (“Transferor” and, together with Successor, the “Parties” and each, a “Party”), with respect to the Urban Peace project currently operated by Transferor and to be known, following the consummation of the transactions contemplated hereby, as the Urban Peace Institute and/ or such other name as may be selected by Successor (the “Project”).
