This ASSET PURCHASE AND SALE AGREEMENT (the “Agreement”), dated as of , 2017 (the “Date of this Agreement”), is made and entered into by and between the CITY OF VERO BEACH, FLORIDA, a municipal corporation organized under the laws of the State of Florida (“Seller”), and FLORIDA POWER & LIGHT COMPANY, a corporation organized under the laws of the State of Florida (“Buyer”). Seller and Buyer are referred to individually as a “Party,” and together as the “Parties.”
