This Nondisclosure Agreement (the "Agreement") is entered into by and for the benefit of the owner of the Property known locally as Riverpark Gateway (the “Property”) in Ventura County, California ("Disclosing Party") and the undersigned ("Receiving Party"), for the purpose of preventing the unauthorized disclosure of Confidential Information as defined below and the Receiving Party evaluating a possible transaction with Disclosing Party concerning the Property (the “Transaction”). The parties agree to enter into a confidential relationship with respect to the disclosure of certain proprietary and confidential information ("Confidential Information").
