(“Agreement”) is made and entered into this 3rd day of June 2015, by and among CPV Valley, LLC, a limited liability company organized and existing under the laws of the State of Delaware (“Developer”), the New York Independent System Operator, Inc., a not-for-profit corporation organized and existing under the laws of the State of New York (“NYISO”), and Central Hudson Gas & Electric Corporation, a corporation organized and existing under the laws of the State of New York (“Affected Transmission Owner”). Developer, the NYISO, or Affected Transmission Owner each may be referred to as a “Party” or collectively referred to as the “Parties.”
