This AMENDMENT #2 (“Amendment #2”) is entered into as of July [ ], 2011 (“Amendment Effective Date”), by and between Sony Pictures Television Inc. (“Licensor”), and DISH Network L.L.C. (“DISH”), and amends the Video-On-Demand and Pay-Per-View License Agreement, dated as of June 4, 2008, as amended by the Amendment, dated as of May 23, 2011, by and between Licensor and Licensee (the “Original Agreement”). For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Licensor and DISH hereby agree as follows:
