(“Vendor”). BlueCross and Vendor hereby incorporate this BAA into the agreement(s) specifie d on Exhibit 1 (“Service Agreement(s)”) (hereinafter and collectively, the “Agreement”) by and between BlueCross and Vendor to comply with the requirements of the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), as modified by the Health Information Technology for Economic and Clinical Health Act (the “HITECH Act”), as implemented in the HIPAA Rules. This BAA is effective as of the earliest effective date among the agreement(s) identified on Exhibit 1 (“Effective Date”) and shall remain in effect so long as any agreement(s) identified on Exhibit 1 shall be in effect, unless otherwise terminated as provided herein.
