THIS AGREEMENT TO INTERCONNECT AND OPERATE NATURAL GAS PIPELINE FACILITIES ("Agreement"), is entered into and made effective this __ day of September, 2000, by and between, COPANO PIPELINES/UPPER GULF COAST L.P., a Texas Limited Partnership, ("COPANO"), and HOUSTON PIPE LINE COMPANY, a Delaware corporation, ("HPL"). (COPANO and HPL are sometimes referred to individually as "Party" and collectively as "Parties").
