This Continuing Disclosure Agreement (the “Agreement”) is executed and delivered by the South Dakota Conservancy District (the “District”) in connection with the issuance of $69,000,000 State Revolving Fund Program Bonds, Series 2014 (the “Series 2014 Bonds”) consisting of $9,000,000 principal amount of Taxable Revenue Bonds, Series 2014A (the “Series 2014A Bonds”) and $60,000,000 principal amount Revenue Bonds, Series 2014B (the “Series 2014B Bonds”). The Series 2014 Bonds are being executed and delivered pursuant to a Fifth Amended and Restated Master Trust Indenture dated as of September 1, 2010 (as now or hereafter amended or supplemented, the “Master Indenture”) between the District and The First National Bank in Sioux Falls, as trustee (the “Trustee”), and a Series Resolution (as now or hereafter amended or supplemented, the “Series Resolution”) adopted by the South Dakota Board of Water and Natural Resources (the “Board”).
