WHEREAS, an Advance Purchase Agreement for the production, purchase and supply of a vaccine against SARS-CoV-2 for the prevention of COVID-19 (the “Vaccine”) in the European Union has been entered into on 20 November 2020, by and between the European Commission, acting on behalf of the Member States of the European Union who have not exercised their rights to opt out (the “Participating Member States”) on the one hand, and the Contractor on the other hand (the “EU APA”);
