This Engineering, Procurement & Construction Agreement (“Agreement”), dated as of March 1, 2021 (the “Effective Date”), is made by and between New York Transco, LLC (the “Company”), having its principal place of business at 1 Hudson City Center, Hudson, New York, Castleton Power, LLC (“Castleton”), a Delaware limited liability company with an office located at One North Lexington Avenue, Suite 1450, White Plains, New York, and New York Independent System Operator, Inc. (“NYISO”), a New York not-for-profit corporation. The Company and Castleton shall each be referred to as a “Party,” and shall be referred to collectively as the “Parties.” The terms “Party” and “Parties” as used herein shall not include NYISO or any successor Independent System Operator.
