This Amended and Restated Standstill Agreement (“Agreement”) is made as of March 30May [ ], 2018 (“Effective Date”), by and among FirstEnergy Solutions Corp. and its subsidiaries and affiliates, (collectively, “FES”) and FirstEnergy Nuclear Operating Company (“FENOC”) (collectively with FES, the “Company” or the “Debtors”), (ii) FirstEnergy Corp.
