This Assignment and Transfer Agreement (the “Agreement”) is made as of the _____ day of May, 2015, (the“Effective Date”) between JOHN SMITH (“Smith”), SMITH ASSOCIATES, LLC, a Canadian limited liability company (“Smith Canada”), SMITH ASSOCIATES, L.L.C., a Delaware limited liability company (“Smith Delaware”), and SMITHTECH USA, LLC, a Texas limited liability company (“Smithtech” or “Assignee”). Smith, Smith Canada, and Smith Delaware are collectively referred to in this agreement as “Assignor.” In consideration of the mutual promises and covenants contained in this Agreement, the parties agree as follows:
