This Memorandum of Understanding and Power Purchase Agreement is made and entered into in the City of Lancaster (City), California, on this _ day of , 2011, by and between the Lancaster Power Authority, a municipal utility of the State of California (hereinafter referred to as “LPA”), and Morgan Solar Inc., a Canadian Corporation, (hereinafter referred to as "MORGAN“), collectively referred to as “the Parties”.
