This Bi-State Development Agreement (hereinafter “Agreement”) is made by and among the State of Indiana (hereinafter “Indiana”), by and through the Indiana Department of Transportation (hereinafter “INDOT”), the Commonwealth of Kentucky (hereinafter “Kentucky”), by and through the Kentucky Transportation Cabinet (hereinafter “KYTC”), the Indiana Finance Authority (hereinafter “IFA”), the Kentucky Public Transportation Infrastructure Authority (hereinafter “KPTIA”), and the Louisville and Southern Indiana Bridges Authority (hereinafter “Bridges Authority”). IFA, INDOT, KYTC, KPTIA and the Bridges Authority are sometimes referred to individually herein as a “Party,” or collectively as “the Parties.” IFA, INDOT, KYTC, and KPTIA are sometimes referred to individually herein as a “State’s Party,” or collectively as the “States’ Parties.” This Agreement shall be effective as of
