This letter (the “Agreement”) confirms Midtown Partners & Co., LLC (“Midtown”) engagement as exclusive placement agent for Aqua Quest International (the “Company”), in connection with the proposed private offering (the “Offering”) of $500,000 of the Company’s securities (the “Securities”).
