THIS CONFIDENTIALITY AGREEMENT (this “Agreement”) is entered into and effective as of Decem- ber 21, 2009 (the “Effective Date”), by and between Shiseido Company, Limited (“Shiseido”) and Bare Escentuals, Inc. (collectively with its subsidiaries, “Bare”) (each of Shiseido and Bare may hereinafter also be referred to as a “Company” or “Party” and collectively as the “Companies” or the “Parties”).
