WHEREAS, Yixin desires to provide (a) certain services in relation to the Business (as defined below) for a total term of twenty (20) years, either directly or through its applicable Affiliates, to the Company and/or its applicable Subsidiaries, including (i) traffic support of no less than 10,000,000 used automobile transaction leads (excluding repeated leads to the same transaction or sale within a year, the “Used Automobile Transaction Leads” and such services, the “Traffic Support”), (ii) support in relation to the Automobile Database, and (b) a non-compete undertaking in relation to the Business as set forth in Section 2.1(c) below (the “Non-compete Undertaking”) (the services described in clause (a) and the undertakings described in clause (b), collectively, the “Cooperation”).
