This Amended, Extended and Restated Agreement (“Agreement”) shall be deemed effective as of May 9, 2003 (the “Effective Date”), between Prospeed.Net, Inc. (“Prospeed”), a corporation organized under the laws of the Commonwealth of Massachusetts, with offices at 164 Westford Road, Tyngsboro, MA 01879 and Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and Prospeed may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
