This Purchase and Sale Agreement (“Agreement”) is entered into this 19 day of December, 2012 (the “Execution Date”) between SandRidge Exploration and Production, LLC, a Delaware limited liability company (“Seller”), having an address of 123 Robert S. Kerr Avenue, Oklahoma City, Oklahoma 73102 and Sheridan Holding Company II, LLC, a Delaware limited liability company (“Buyer”), having an address of 9 Greenway Plaza, Suite 1300, Houston, Texas 77046. Buyer and Seller are collectively referred to herein as the “Parties” and each individually referred to herein as a “Party.”
