THIS STOCKHOLDER AGREEMENT (this “Agreement”), is made and entered into as of this 21st day of January 2020, among Lost Spirits Distillery, Inc., a Delaware corporation (the “Company”), each holder of the Company’s Common Stock, $0.0001 par value per share, (the “Common Stock”) listed on Schedule A (together with any subsequent holders or transferees who become parties hereto under Subsections 9.1 or 9.2 below, the “Stockholders”). Certain terms used in this Agreement are defined in Schedule B.
