THIS AMENDMENT NO. 2 TO CREDIT AGREEMENT (this “Amendment”) is made as of October __, 2022, by and among CPI CARD GROUP INC., a Delaware corporation (“Parent”), CPI CG Inc., a Delaware corporation (“CPI CG” and, together with those additional entities that become parties to the Credit Agreement are referred to hereinafter each individually as a “Borrower,” and individually and collectively, jointly and severally, as the “Borrowers”), the other Loan Parties party hereto, the Lenders party hereto and Wells Fargo Bank, National Association, a national banking association, as administrative and collateral agent for each member of the Lender Group and the Bank Product Providers (in such capacity, together with its successors and assigns in such capacity, “Agent”).
