This Nondisclosure Agreement (the “Agreement”) is entered into by and between Valenture Institute with its principal offices at 3 Wandel Street, Gardens, Cape Town (“Disclosing Party“) and External Concession Assistants (Readers, Scribes and Prompters), appointed by UCT Online High School guardians for the purpose of supporting UCT Online High School learners with an approved Reader/Scribe/Prompter Concession to use in cycle tests and examinations, (“Receiving Party“) for the purpose of preventing the unauthorised disclosure of Confidential Information as defined below. The parties agree to enter into a confidential relationship with respect to the disclosure of certain proprietary and confidential information (“Confidential Information”).
