This CONSULTING AND NON-COMPETE AGREEMENT (the "Agreement"), entered into this day of June, 1997, by and between MEDPARTNERS, INC., a Delaware corporation ("MedPartners"), and J. CLIFFORD FINDEISS, M.D. (the "Consultant"). Capitalized terms not defined herein shall have the meaning assigned to them in the Merger Agreement or Section 3 hereof.
