THIS AGREEMENT is by and between BellSouth Telecommunications, Inc., (“BellSouth or Company”), a Georgia corporation, and Max-Tel Communications, Inc., (“Reseller”), a Texas corporation, and shall be deemed effective as of November 20, 1997.
