THIS TRUST INDENTURE (together with any amendments or supplements hereto, this “Indenture”), dated as of December 1, 2015, is made by and between the GOLDEN STATE FINANCE AUTHORITY, a joint exercise of powers agency duly organized and validly existing under the laws of the State of California (the “Issuer”) and WILMINGTON TRUST, NATIONAL ASSOCIATION, duly organized, existing and authorized under the laws of the United States of America to accept and execute trusts of the character herein set forth, with a corporate trust office located in Costa Mesa, California, as trustee (together with any successor trustee hereunder, the “Trustee”). Terms not otherwise defined in the Recitals have the respective meanings set forth in ARTICLE I.
