The Participant wishes to participate in the Weightless SIG as an Associate or Promoter Member. Weightless Management is willing to permit the Participant to do so in accordance with the Bylaws of the Weightless SIG on condition that the Participant provides an undertaking to grant licences under its Essential Patent Claims (as defined below) on the terms set out in this Agreement.
