This Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of May 12, 2004 (the “Effective Date”), between InterGlobe Communications (“InterGlobe”), a corporation organized under the laws of the State of New Jersey, with offices at 101 Tyrellan Avenue, Staten Island, NY 10309 and Verizon Pennsylvania Inc. (“Verizon”), a corporation organized under the laws of the Commonwealth of Pennsylvania with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and InterGlobe may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
