THIS SHARE EXCHANGE AGREEMENT (the “Agreement”) is entered into as of May 30, 2014 by and among Carl Capital Corp., a British Columbia corporation (the “Purchaser”), Extend to Social Media Inc., a British Columbia corporation (“ETS”) and the shareholders of all of the issued and outstanding shares in the capital of ETS (the “Vendors”).
