This MEMORANDUM OF UNDERSTANDING (hereafter “MOU”) is made and entered into as of the date below by and between the SCHOOL DISTRICT OF CLAYTON (the “District”) a political subdivision duly organized and existing under the laws of the State of Missouri, and the CLAYTON EDUCATION FOUNDATION (the “Foundation”) a not-for-profit corporation incorporated under the laws of the State of Missouri that has been granted the status of a 501(c)(3) not for profit charitable organization by the Internal Revenue Service (collectively referred to as “the Parties”).
