CONSULTING AGREEMENT This Consulting Agreement is entered into by and among Air Medical Group Holdings, Inc., a Delaware Corporation (“AMGH”), REACH Medical Holdings, LLC, a California Limited Liability Corporation and wholly owned subsidiary of AMGH (“REACH”), and County of Sonoma ("County"), a political subdivision of the State of California, in its capacity/obligation as the Local Emergency Services Agency for Sonoma County and Mendocino County, as of the latest date next to the parties’ respective signatures below but effective as of May 1, 2016. AMGH and REACH are collectively referred to hereafter as the “Company”. Company and CVEMSA are sometimes collectively referred to hereafter as the “Parties” and individually as a “Party”.
