Service: Upon the execution of this agreement, Conservice Energy, (“Seller”) agrees to supply the full electricity requirements of the customer (“Buyer”) facilities (identified by the ESIID numbers, which shall be identified by the attached ESIID Addendum or on the Pricing Appendix, which shall be incorporated herein). Seller will invoice Buyer on a monthly basis for the electricity supply (“Energy Charges”), transmission and distribution costs charged by the Transmission and Distribution Service Provider (“TDSP”) and appropriate taxes. Buyer agrees to accept service from Seller as its exclusive provider of electricity for the term of the agreement and to pay the associated invoices. Where Buyer has made a material misrepresentation as to the expected usage, which could not have been discovered with the information available to Seller, Seller shall adjust the rate charged, and the client shall have 30 days to decide whether to accept the adjusted rate or terminate the agreement.
