This Settlement Agreement (“Agreement”) is made and entered into this 4th day of June, 2021 (“Execution Date”) by and between Defendants Hitachi Astemo, Ltd. (f/k/a Keihin Corporation) and Hitachi Astemo Indiana, Inc. (f/k/a Keihin North America, Inc.) (together “Keihin”) and Direct Purchaser Plaintiff (as defined in Paragraph 5), both individually and on behalf of a class of direct purchasers of Fuel Injection Systems (“Settlement Class”), as more particularly defined in Paragraph 10.
