WHEREAS, NSPS and ACSM desire to provide for the terms and conditions upon which ACSM will be merged with and into NSPS in accordance with the applicable provisions of the Maryland General Corporation Law, as amended (the “MGCL”) and the DC Nonprofit Corporation Act, as amended (the “DCNCA”) and the terms and conditions of this Agreement, pursuant to which NSPS will be the surviving corporation (the “Merger”); and
