This agreement (“Agreement”) is entered into as of the date of execution of the Agreement by and between the undersigned in its capacity as a prospective purchaser or third party (“Recipient”) receiving Information (defined below) in connection with the Property (defined below) owned by West-Signal Industrial Venture, LLC, a Delaware limited liability company or its affiliates (collectively, the “Owner”) in connection with the review by the Recipient of certain information provided by Owner and [HFF] (“Broker”) involving that certain Property listed on Schedule A attached hereto and made a part hereof (the “Property”). Such analysis requires the disclosure of confidential and proprietary information concerning the Property and the Owner of the Property.
