This Omnibus Amendment (this “ Amendment”) is made the 17th 20th day of November, 2000, between Hawaii II 125-0 Trust, a Delaware business trust (f/k/a Hawaii 125-0 Trust), (the “Trust”), Enron Energy Services Operations, Inc., a Delaware corporation (the “Sponsor”), Danno II, L.L.C., a Delaware limited liability company (“Danno II”), Maui II, L.L.C., a Delaware limited liability company (“Maui II”), Enron Corp., an Oregon corporation (“Enron”) and Canadian Imperial Bank of Commerce, in its capacity as agent under that certain Facility Agreement dated March 31, 2000 as such agreement was amended and restated on May 31, 2000, in each case, executed by the Trust, Canadian Imperial Bank of Commerce and the other financial institutions party thereto (the “Agent”).
