The City of Saratoga (“Saratoga”) and the Hakone Foundation, a not-for-profit corporation organized under the laws of the State of California (“Foundation”), each individually a “Party” and collectively the “Parties”, entered into a Master Plan Development Agreement effective April 30, 2014 amended February 24, 2015 and November 24, 2015 (“Agreement”) and wish to amend the Agreement to replace sections 3, 4, and 5 (as adopted by the November 24, 2015 amendment) as follows:
