This Contribution Agreement (this “Agreement”), dated as of May 7, 2012 (the “Effective Date”), is by and between Gulfport Energy Corporation, a Delaware corporation (“Contributor”), and Diamondback Energy, Inc., a Delaware corporation (“Diamondback”).
