ISLAND/YERBA BUENA ISLAND) (as amended from time to time, this “ICA”) dated for reference purposes as of June 28, 2011, (the “Reference Date”) is between the CITY AND COUNTY OF SAN FRANCISCO, a charter city and county (the “City”), and the TREASURE ISLAND DEVELOPMENT AUTHORITY, a non-profit, public benefit corporation (together with any successor public agency, the “Authority”), in reference to the Disposition and Development Agreement (Treasure Island/Yerba Buena Island) dated for reference purposes as of June 28, 2011 by and between the Authority and TREASURE ISLAND COMMUNITY DEVELOPMENT, LLC, a California limited liability company (together with its successors, “Developer”) (including all attached and incorporated exhibits and as amended from time to time, the “DDA”). Capitalized terms used but not otherwise defined in this ICA shall have the meanings for such terms set forth in the DDA and the Development Agreement referenced in Recital A below.
