Whereas, Illinois Bell Telephone Company d/b/a AT&T Illinois1 (“AT&T Illinois”) and Pac-West Telecomm, Inc. (“CLEC”) (collectively, the “Parties”) entered into an Agreement relating to local interconnection which became effective on May 27, 2006, (“Agreement”) and which permits the Parties to mutually agree to amend the Agreement in writing; and
